1. Acceptance of Terms

By creating an account, downloading the app, or using any Ubii services, you agree to these Terms of Service and our Privacy Policy. If you do not agree, please do not use our platform.

2. Description of Services

Ubii provides a technology platform that connects riders seeking transportation with independent drivers who offer ride services. Ubii is not a transportation carrier. We act as an intermediary between riders and drivers.

• Ubii does not guarantee the availability of rides at any given time or location.
• Drivers are independent contractors, not employees of Ubii.
• The quality of transportation services is the responsibility of the driver.

3. User Accounts

3.1 Account Registration

You must be at least 18 years old to create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorised use of your account. Ubii is not liable for losses arising from unauthorised access to your account.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time if you violate these terms, engage in fraudulent activity, or pose a safety risk to other users.

4. Rider Terms

• You agree to provide accurate pick-up and drop-off locations.
• You agree to be present at the pick-up location within a reasonable time.
• You are responsible for your conduct during the ride and for any damage to the driver's vehicle.
• Cancellation fees may apply if you cancel a ride after a driver has been dispatched.
• You agree to pay all fares, tolls, surcharges, and applicable fees.

5. Driver Terms

• You must hold a valid driver's licence and meet all local regulatory requirements.
• Your vehicle must meet Ubii's minimum standards for safety, age, and condition.
• You must maintain valid vehicle insurance as required by law.
• You are an independent contractor and not an employee of Ubii.
• You agree to comply with all applicable traffic laws and regulations.
• You may not discriminate against riders on any basis.

6. Payments & Pricing

Fares are calculated based on distance, estimated time, demand, and other factors. You agree to pay the fare shown at the time of booking, plus any additional charges such as tolls, cleaning fees, or wait-time surcharges.

• Payment is processed automatically through your registered payment method.
• Promotional credits and discounts are applied at Ubii's discretion and may expire.
• Drivers receive their portion of the fare after deduction of Ubii's service fee.
• Ubii reserves the right to adjust fares in cases of technical errors or route discrepancies.

7. Prohibited Conduct

You agree not to:

• Use the platform for any unlawful purpose.
• Harass, threaten, or discriminate against other users.
• Transport illegal substances or weapons during a ride.
• Create fraudulent accounts or engage in fare manipulation.
• Reverse-engineer, decompile, or tamper with the Ubii app or systems.
• Use automated scripts or bots to interact with the platform.
• Interfere with the proper functioning of the service.

8. Safety

Ubii is committed to the safety of all users. We implement safety features including real-time trip tracking, emergency assistance, driver background checks, and two-way ratings. However, Ubii does not guarantee the safety of any ride and is not liable for incidents that occur during trips.

9. Intellectual Property

The Ubii name, logo, app design, and all associated content are the intellectual property of Ubii. You may not copy, modify, distribute, or create derivative works based on our platform without prior written consent.

10. Limitation of Liability

To the maximum extent permitted by law, Ubii shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the platform.

Ubii's total liability for any claim related to our services shall not exceed the amount you paid to Ubii in the 12 months preceding the claim.

11. Dispute Resolution

Any disputes arising from these terms or your use of Ubii shall be resolved through binding arbitration rather than in court, except for claims that qualify for small claims court. You agree to waive your right to a jury trial and to participate in class action lawsuits.

12. Modifications

We may update these Terms of Service from time to time. Material changes will be communicated through the app or via email at least 30 days before they take effect. Continued use of Ubii after changes take effect constitutes acceptance of the updated terms.

13. Governing Law

These terms are governed by and construed in accordance with the laws of South Africa. Any legal proceedings shall be conducted in the courts of competent jurisdiction in South Africa.
